Our first meeting for 2009 begins the year with an instructional meeting where expert attorneys and investment bankers describe the basics of term sheets, the important specifics to be included in every term sheet and the pitfalls to avoid. In the second part of the meeting, a leading investment banker will describe the methodologies used to value companies and describe how to achieve the most favorable valuations for your company. Closing out the discussion will be a seasoned investor who will give the investor perspective. Finally, the panel will discuss how to achieve maximum benefit for founders when negotiating with investors.

Panelists Include: 

David Pierson, Partner, Foley Hoag LLP

David Pierson chairs Foley Hoag’s Venture Capital/Emerging Companies Practice Group. He represents U.S. and foreign venture capital firms in connection with their investments in portfolio companies in the information technology and life science industries throughout the U.S. In addition, David acts as outside general counsel to a broad range of information technology and life science companies, as well as companies in a variety of other industries. He advises public and private companies in corporate finance, securities, mergers and acquisitions, general corporate and contract matters, including technology licensing and distribution arrangements. David earned an A.B., magna cum laude, from Yale College and a J.D., cum laude, from Harvard Law School.

Timothy L. Schmidt, Vice President, Capstone Partners

Tim is responsible for the research and business development efforts within the Specialty Products industry group. He comes to Capstone with 16 years of management, marketing and finance experience and has spent most of his career serving as a trusted advisor to middle market business owners. Prior to joining Capstone, Tim worked at Trudeau & Trudeau Associates where he developed new clients for the firm’s investment banking advisory services. Tim focused on closely-held companies in the medical device, electronic sensors & controls, and radio frequency & microwave components sectors. Prior to that, Tim managed the business development efforts for Emerson Investment Management, a boutique investment advisor catering to high net worth individuals.

Before Emerson, Tim worked for Charles Schwab & Company where he was a founding member of the investor education department and the vice president and branch manager of the Cambridge, Massachusetts investor center. He holds a BA in Extension Studies from Harvard University and is currently studying for his MA in Management at Harvard University.

Walter M. (Jerry) Bird, Vice President Massachusetts Technology Development Corporation

Jerry Bird, who joined Massachusetts Technology Development Corporation as Vice President in 2005, has over 22 years of investing and financial experience. He currently manages MTDC's investments in Clarity Imaging, Inc., BEZ Systems, Inc., and Ze-gen, Inc.

Before joining MTDC, Mr. Bird was President of Boston-based Claflin Capital Management, which he joined as a general partner in 1996. While at Claflin, Mr. Bird led over a dozen investments in early-stage technology companies. He was on the boards of e-Travel, Inc., which subsequently merged with VA Linux, LinkSoft Technologies, NexCen Technologies, and Bitpipe, Inc. Prior to joining Claflin Capital Management, he spent 10 years at Bank of Boston in the energy and emerging markets investment banking decisions.

Mr. Bird received both a BA and an MBA degree from Dartmouth College. He is also on the Board of Massachusetts Audubon, Crossroads for Kids, and the Advisory Board of the Trust for Public Land. 


Joseph Sabatini, President of the Innovation Network, LLC.

The Innovation Network is a consulting group that specializes in assisting new and emerging companies in formation, strategy, commercialization, capital acquisition and cost management. Prior to founding the Innovation Network, he was a Partner and Director in Arthur D. Little’s Technology and Innovation Management Practice. He was also the Vice President of Operations of TurboChef Technologies, a leading developer of commercial appliance technology, recently sold to Middleby Corporation. He was instrumental in licensing the company’s products to Maytag Corporation. Earlier in his career, he was consultant to clients in the advanced materials, energy and chemicals sectors. He began his career in the aerospace and defense industry. He is a member of the Board of Advisors of Reliable Laundry Products and Gulf Data Services (Dubai). He holds a BS in Engineering from Columbia University and an MS in Mechanical Engineering from Northeastern University.
